1. The service
Uaask provides an AI-powered chat agent that you train on your store's content - products, pages, FAQs and policies - and embed on your website. When a shopper asks a question, the agent generates a natural language answer based on the content you have provided and the underlying AI models we use.
You are responsible for the accuracy of the content you train the agent on, and for reviewing the agent's behaviour before and while it is live on your store.
2. Nature of AI-generated responses
The Uaask chat agent produces responses using large language models. You acknowledge and accept the following about AI-generated content:
- Responses are generated automatically and may be inaccurate, incomplete, or out of date, even when your training content is correct.
- The agent may occasionally produce plausible-sounding but incorrect information (a "hallucination"). It should not be treated as professional, legal, medical, or financial advice.
- Responses about price, stock, shipping, returns and similar operational details reflect the content you supplied and may lag behind your live store data.
- You are responsible for any commitment, quote, or representation the agent makes to your shoppers, and for honouring or correcting it under applicable consumer law.
We strongly recommend you keep your training content current, test the agent regularly, and make clear to shoppers that they are chatting with an automated assistant. Nothing in the agent's output overrides your published store policies or your obligations under the Australian Consumer Law.
3. Your account
You must provide accurate registration details and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and authorised to bind the business you register on behalf of.
4. Acceptable use
You agree not to use Uaask, or allow the chat agent to be used, to:
- Train the agent on, or generate, unlawful, infringing, misleading, hateful, or sexually exploitative content.
- Impersonate a person or organisation, or misrepresent the agent as a human.
- Attempt to extract the underlying model, prompts, or another customer's data, or to reverse engineer the service.
- Circumvent usage limits, security controls, rate limits, or the Turnstile / anti-abuse protections on the widget.
- Send spam, run automated attacks, or overload the service, or resell the service without our written consent.
- Collect sensitive personal information through the chat agent that you are not authorised to collect.
We may suspend or terminate accounts that breach this section, and may filter or block abusive chat inputs to protect the service.
5. Your content and training data
You retain ownership of the content you upload or connect to Uaask ("Your Content"). You grant us a non-exclusive, worldwide licence to host, process, index, embed, and transmit Your Content solely to operate and improve the service for you - including sending relevant excerpts to our AI model providers to generate chat responses.
You warrant that you have the rights to Your Content and that our processing of it will not infringe any third party's rights or breach any law.
6. Shopper conversations
Conversations between shoppers and your agent are processed to generate responses, are stored so you can review chat logs, and may be used in aggregated, de-identified form to monitor and improve service quality. Our handling of personal information in these conversations is described in our Privacy Policy. You are the controller of the shopper data collected through your agent and are responsible for having an appropriate privacy notice on your own store.
7. Intellectual property
Uaask, including the platform, widget, models integration, and branding, is owned by us and our licensors. We grant you a limited, non-transferable, revocable licence to use the service during your subscription. You may not copy, modify, or create derivative works of the platform except as expressly permitted.
8. Third-party services
Uaask relies on third-party providers to function, including AI model providers (via OpenRouter), payment processing (Stripe), and infrastructure and security services (including Cloudflare). Your use of Uaask is also subject to the relevant terms of those providers where applicable. We are not responsible for outages or changes on the part of these providers, though we will use reasonable efforts to maintain availability.
9. Fees
Access to paid plans is subject to the fees, billing terms, and refund terms set out in our Payment Policy, which forms part of these Terms.
10. Availability, warranties and consumer law
We provide the service on a "best efforts" basis and do not warrant that it will be uninterrupted, error-free, or that AI responses will be accurate or fit for a particular purpose. To the maximum extent permitted by law, all implied warranties are excluded.
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded. Where we are permitted to limit our liability for a breach of a non-excludable guarantee, our liability is limited to re-supplying the service or paying the cost of re-supply.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill, arising from your use of the service or from any AI-generated response. Our total aggregate liability arising out of or in connection with these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
12. Indemnity
You agree to indemnify us against claims, losses, and costs arising from Your Content, your breach of these Terms, your use of AI-generated responses on your store, or your breach of any law, including consumer or privacy law owed to your shoppers.
13. Suspension and termination
You may cancel at any time as described in the Payment Policy. We may suspend or terminate your access for breach of these Terms, non-payment, or to comply with law. On termination, your right to use the service ends and we may delete Your Content after a reasonable period, subject to our data retention practices.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that place and of the Commonwealth of Australia.
